Patient Terms & Conditions

USE OF THE SITE

eClinic.care operates a Telemedicine Platform and a website located at www.eClinic.care. It provides a Telemedicine Platform (referred to as “Platform”) for Healthcare Providers who utilize the Platform (referred to as “Healthcare Providers” or “Provider”) to conduct virtual telemedicine sessions with patients in a safe, encrypted, HIPPA compliant audio/video medium. These Terms & Conditions (referred to as “Terms”) govern your access to and use of the Platform and related services.

By accessing and using the Platform, you agree to be bound by these Terms and Conditions of use. If you do not wish to be bound by any of these Terms of Use, you may not use the Platform or other eClinic.care Services. eClinic.care reserves the right to modify or change these Terms periodically. If so modified, the changes will be posted here. Your continued use of these services after any changes are posted constitutes your acceptance of the new Terms.

eClinic.care Telemedicine Platform IS NOT INTENDED FOR USE IN A MEDICAL EMERGENCY OR IN CASE OF AN URGENT HEALTHCARE NEED. If you feel your concern is an emergency, call 911. If appropriate, during use of eClinic.care, you may be referred to an alternative setting to receive care.

You may be charged a fee by the Healthcare Provider for his/her services.

eClinic.care Provides NO Medical Advice

eClinic.care, the Telemedicine Platform, per se does not provide any physicians' or other Healthcare Providers' services itself. Any information presented through the eClinic.care website is not medical advice, and is not given as medical advice. eClinic.care is intended as a telemedicine solution, and shall not constitute medical advice, diagnosis, or recommendations or be considered a substitute for independent medical research and evaluation by a qualified professional.

All of the Healthcare Providers are independent of eClinic.care and your use of the Platform is as a way to communicate with Healthcare Providers. Any information or advice received from a Provider comes from the Provider alone, and not from eClinic.care. Any interactions with the Providers via the Platform are not intended to take the place of regular health care visits.

Neither eClinic.care, nor any of its subsidiaries or affiliates or any third party who may promote the platform or who provide a link to the Platform, shall be liable for any professional advice obtained from a Healthcare Provider via the Platform or for any other information obtained on the website. eClinic does not endorse any specific tests, physicians, medications, products or procedures that are recommended by Providers that may use eClinic.care to communicate with patients. You acknowledge that your use of the Platform is solely at your own risk and you assume full responsibility for all risk associated herewith.

eClinic.care does not make any representations or warranties about the training or skill of any healthcare providers who provide services via the Service.

Informed Consent

eClinic.care provides a Telemedicine Platform for health care services. An independent Healthcare Provider will provide you with the healthcare services using interactive audio and video technology based through eClinic.care via a computer, tablet, or mobile device, or other electronic modality where the Patient and the Provider are not in the same physical location. During your audio/video consultation with a Provider, details of your medical or health history and personal health information may be discussed with you through the use of interactive video, audio and other telecommunications technology.

By accepting these Terms, you acknowledge that you understand and agree that, while you may anticipate benefits from the use of the telemedicine interaction with your Healthcare Provider, no results can be guaranteed or assured. You understand that the laws that protect the privacy and security of health information (HIPAA) apply to Telemedicine. You also acknowledge that you have reviewed eClinic.care’s “Notice of Privacy Practices”, which describes these protections in greater detail.

HIPAA compliance and use of e-signatures

Continually striving to provide robust security consistent with the Health Insurance Portability and Accountability Act (HIPAA), eClinic.care employs five (5) core elements essential to HIPAA compliance and the use of e-signatures:

  1. Legal compliance: By “accepting” these terms and conditions, you are consenting to the use of e-signatures and understand that by clicking the “accept” button when prompted to do so, you are effectively and lawfully providing your e-signature and creating a legally binding contract. Using such e-signatures is consistent with federal and state laws regarding electronic signatures. These include the Federal Electronic Signatures in Global and National Commerce Act (ESIGN Act) and the Uniform Electronic Transactions Act (UETA). Under federal law, any “electronic sound, symbol, or process, attached to or logically associated with a contract or other record and executed or adopted by a person with intent to sign the record” can be accepted as an electronic signature. 15 USC §7006(5).
  2. Message integrity: E-signed documents containing personal health information (PHI) will have their privacy and integrity maintained by virtue of digital encryption. When the e-signature is embedded directly into a document, it thereby protects the integrity of PHI in any such documents.
  3. Non-repudiation: Independent e-signature technology provides undeniable legal evidence supporting the validity of each signature. The detailed digital audit trails that are integral to independent e-signatures provide immediate, transparent records of the entire signing process and avoid repudiation of the signing process.
  4. User authentication: The identity authentication technology used along with independent e-signatures helps prevent unauthorized parties from accessing, viewing or otherwise compromising healthcare documents and data.
  5. Ownership and control: Because e-signatures are embedded in the signed document itself, there is only one signed document, which is maintained exclusively by eClinic.care, thereby avoiding possible external breaches involving any PHI or identity information.

Patient’s User Account

As part of the registration process, you will be required to create a unique personal login ID and password. You are solely responsible to maintaining the safety and security of your login ID and password. You should change your password if you believe that confidentiality has been compromised.

After you register on the eClinic.care platform, you will be asked to record your medical history and other information which will only be present on your unique account and not shared in any way according to the Privacy Policies of eClinic.care. All information will be stored on its servers in a safe HIPAA compliant fashion.

You agree that the Account Information that you provide at all times will be true, accurate, current, and complete. If changes occur concerning your personal or medical information, it is your responsibility to change these on your account. If you are not of legal age to form a binding contract (at least 18 years of age), then your legal guardian must register you to use the Platform.

eClinic.care reserves the right to take any and all action, as it deems necessary or reasonable, regarding the security of the Site and your Account Information. In no event and under no circumstances shall eClinic.care be held liable to you for any liabilities or damages resulting from or arising out of your use of its Platform, your use of the Account Information or your release of the Account Information to a third party. You may not use anyone else’s account at any time.

Restrictions on Use

You have the right to view or download copies of pertinent material on the Platform for your own personal, noncommercial use. You agree that you will not, and will not attempt to knowingly allow yourself or any third party to, (a) reverse-engineer, disassemble, decompile, reproduce, transcribe, translate into any language or computer language, re-transmit in any form by any means, resell, or redistribute the Content without our prior written consent, (b) reverse engineer or attempt to discover any underlying ideas, source code, processes, techniques, technology, design, formula, engineering, or algorithms of the Platform, or (c) use the Platform for commercial purposes or otherwise use or allow others to use the Platform for the benefit of any third party, or (d) impersonate any person or entity, or otherwise misrepresent your affiliation with a person or entity; (e) use the Platform in violation of any local, state, national or international law; (f) distribute viruses or other harmful computer code through the Site or (g) otherwise use the Platform in any manner that exceeds the scope of use granted above.

In addition, you agree to refrain from abusive language when communicating with Providers during use of the Platform. eClinic.care is not responsible for any interactions with Providers that are not conducted through the Platform.

Release from Filing Claims to Health Insurance Company

You understand that regular health insurance may not cover telemedicine services charged and you will be financially responsible for the charges incurred while using such telemedicine services on eClinic.care, verified by e-signing this agreement. You have elected to accept this financial responsibility regardless of the findings of the telemedicine visit once the service has been performed. You understand it is your right to do so under the HIPAA Omnibus rule dated September 23, 2013 to protect your privacy for reasons you deem appropriate. This agreement is good until you cancel it.

Third Party Website Links and Content

eClinic.care, Healthcare Providers or third parties may provide content, links or otherwise direct patients to other sites and resources on the Internet. eClinic.care has no control over such sites and resources and is not responsible for and does not endorse such sites and resources. eClinic.care will not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any information, software, or links found at any other website, internet location, or source of information, nor for your use of such information, software or links, nor for the acts or omissions of any such websites or their respective operators.

User Feedback

You may be asked to provide feedback on your eClinic.care experience. This feedback is always optional and your choice. This feedback may be hosted and stored at a third-party site. You agree to not provide any personally identifiable information such as name, date of birth, or insurance ID during this feedback to preserve your privacy.

Ownership

eClinic.care and its entire contents, features and functionality (including but not limited to all information, software, text, displays, images, video and audio, and the design, selection and arrangement thereof), are owned by eClinic.care solely and are protected by United States and international copyright, trademark, patent, trade secret and other intellectual property or proprietary rights laws. These Terms & Conditions permit you to use the Platform only for its intended purpose. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store or transmit any of the material on our Platform except as generally and ordinarily permitted by the Platform according to these Terms.

Trademarks and Copyrights

Certain of the names, logos, and other materials displayed on the Platform or on its website may constitute copyrighted material, trademarks, trade names, service marks or logos (“Marks”) of eClinic.care or other proprietary entities. You are not authorized to use any such Marks or material without the express written permission of eClinic.care. Ownership of all such Marks, material and the goodwill associated therewith remains the property of eClinic.care or those other entities.

Termination

eClinic.care may suspend or terminate your use of the Platform, your Account and/or registration for any reason at any time. After such termination, eClinic.care and its Providers will have no further obligation to provide the Platform services to you, except to the extent we are obligated to provide you access to your health records, if any such records exist, or Providers are required to provide you with for continuing care under their applicable legal, ethical and professional obligations to you.

Disclaimer of Warranties

You expressly agree that use of the Platform is at your sole risk. eClinic.care Platform is provided on an “as is” and “as available” basis. eClinic.care expressly disclaims all warranties of any kind, whether express or implied, including, but not limited to any warranties of merchantability, fitness for a particular use or purpose, non-infringement, title, operability, condition, quiet enjoyment, value, accuracy of information and system integration.

You acknowledge and agree that eClinic.care does not provide medical or mental health advice, diagnosis, or treatment, and is strictly a technology platform and infrastructure for connecting patients/consumers with independent third-party Healthcare Providers.

You acknowledge and agree that the Providers using the Platform are solely responsible for and will have complete authority, responsibility, supervision, and control over the provision of all services, advice, instructions, treatment decisions, and other services performed, and that such Providers services will be provided and performed exclusively by or under their sole discretion, as they deem appropriate.

Without limiting the foregoing, eClinic.care makes no warranty that (1) the service will be effective, will function without disruptions, delays or errors, will be reliable or accurate, or will meet your requirements, (2) the service will be uninterrupted, timely, secure, error-free, or accessible at times or locations of your choosing, (3) the results or information that may be obtained from the use of the service will be accurate, reliable timely, or complete, (4) the quality of any products, services, advice, information, or other material purchased or obtained by you through the service will meet your expectations, and (5) any errors will be corrected. Except as expressly set forth herein, eClinic.care makes no warranties about the software and functions made accessible through the Platform or any other security associated with the transmission of sensitive information.

Limitation of liability

You understand that to the extent permitted under applicable law, in no event will eClinic.care or its officers, directors, parents, subsidiaries, affiliates, employees, agents or licensors be liable for any indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of revenues, profits, goodwill, use, data or other intangible losses arising out of or related to your use of the Platform, regardless of whether such damages are based on contract, tort (including negligence and strict liability), warranty, statute or otherwise.

To the extent of the law, eClinic.care implies no warranty or implied warranty. the scope, duration, and the extent of liability will be the minimum permitted under such applicable law. In no event shall eClinic.care be liable to anyone for any delays, inaccuracies, errors or omissions with respect to the Platform. If you are dissatisfied with using the platform, your sole remedy ultimately is to STOP using the platform.

Indemnification

You agree to indemnify, defend and hold harmless eClinic.care, its officers, directors, employees, agents, subsidiaries, affiliates, licensors, and suppliers, harmless from and against any claim, actions, demands, liabilities and settlements, including without limitation reasonable legal and accounting fees, resulting from, or alleged to result from, your violation of these terms and conditions

Healthcare Provider Terms & Conditions

The following Terms & Conditions Agreement (referred to as "Terms") are between eClinic.care and the undersigned Healthcare Provider (referred to as "Provider") who desires status as a Healthcare Provider user of the eClinic.care telemedicine platform service. These shall be effective only upon acceptance of the prospective Healthcare Provider by eClinic.care. User understands, consents and agrees to evaluation and verification for confirmation of the user as a currently licensed Healthcare Provider.

OVERVIEW

eClinic.care is a telemedicine solution that allows Healthcare Providers to provide a telemedicine platform for patient care. The platform may provide multiple potential uses for the Healthcare Provider, including medical care, medical advice, consultations, information, education, marketing, patient leads, billing, and many other potential uses.

By signing this contract and consenting to the terms, conditions and agreements set forth, you agree to utilize the eClinic.care telemedicine platform. You understand that any services, advice or recommendations you make using this platform are solely your responsibility and are not the opinions, advice or recommendations of eClinic.care.

Once signed, eClinic.care agrees to provide a telemedicine platform for the Healthcare Provider as long as the terms and conditions set forth continue to be satisfied.

Using eClinic.care signifies your consent to the terms and conditions of, and the disclaimers set forth by, eClinic.care; noted and acknowledged once the agreement is signed.

It is the intent of eClinic.care to only provide a telemedicine platform for the Healthcare Provider and to provide no medical advice concerning patient care.

HEALTHCARE PROVIDER AGREES

  1. Healthcare Provider is of legal age in the state or country in which he/she resides. Healthcare Provider has not committed any prior illegal activities such as larceny, fraud or misbehavior that have not been disclosed to eClinic.care.
  2. Healthcare Provider is licensed to practice medicine or other approved healthcare discipline in the United States and agrees to disclose all unethical or illegal actions to eClinic.care with this application.
  3. Healthcare Provider accepts responsibility to learn the eClinic.care Telemedicine Platform program and desires to offer this service to his/her patients.
  4. Compensation from the patient for providing this service is at the discretion of the Healthcare Provider and is received from the patient. eClinic.care does not provide compensation for users of its platform.
  5. Applicant, upon acceptance, will continue to conduct business for her/his own healthcare business and not as an employee of eClinic.care nor a compensated agent for eClinic.care. The Healthcare Provider further understands that she/he will not be treated as an employee regarding any laws covering employees.
  6. Healthcare Provider agrees that only he/she establishes a patient-physician relationship with his/her patient and not eClinic.care.
  7. The Healthcare Provider agrees to allow the eClinic.care to help market the physician and agrees to allow eClinic.care to create a directory of Healthcare Providers who use the platform on the eClinic.care website. Provider consents to the use of his/her name within this directory.
  8. Healthcare Provider agrees to utilize the platform provided by eClinic.care only by subscribing to its services.
  9. Healthcare Provider understands that if he/she discontinues the subscription to the eClinic.care, he/she will not be licensed to use the telemedicine platform provided by the eClinic.care and access to the platform will be terminated. If terminated yet the platform continues to be used, these acts would be considered violations against the law.
  10. eClinic.care makes no claims as to income potential either written or oral except those prepared by the eClinic.care for illus¬tration purposes only.
  11. Healthcare Provider will not make any claims of any kind pertaining to benefits of the eClinic.care's outcomes except those given in official eClinic.care promotional media. When presenting the eClinic.care program to others, Healthcare Provider shall present the program in its entirety, without omission, distortion or misrepresentation.
  12. Healthcare Provider shall not represent or imply, directly or indirect¬ly, that the eClinic.care program has been approved or endorsed by any governmental agency, federal or state.
  13. Healthcare Provider will indemnify and hold harmless the eClinic.care from any and all claims, expenses, costs, causes of action, damages and expenses (including attorney fees) result¬ing from or growing out of Healthcare Provider's statements or actions on the platform in violation of this agreement or recommendations made by the Healthcare Provider to patients.
  14. Should the Healthcare Provider be terminated for cause, Healthcare Providers shall forfeit all association with eClinic.care.
  15. eClinic.care reserves the right to terminate any physician who has misrepresented themselves; or who conducts him/herself in an unprofessional or unethical manner.
  16. If terminated, the Healthcare Provider may no longer utilize the telemedicine platform provided by the eClinic.care. Any information of Healthcare Provider's patients on the site can be downloaded and given to the Healthcare Provider only if requested in writing by the Healthcare Provider within six months of such termination.
  17. The terminated Healthcare Provider may be eligible to reapply after six (6) months or a negotiated time period.
  18. Healthcare Provider may terminate this contract with 30-day notice to eClinic.care. No refunds are given for any services provided by eClinic.care.
  19. Healthcare Provider is responsible for checking their state regulations concerning offering telemedicine to patients. eClinic.care is not responsible for improper use of the telemedicine platform that is counter such regulations.
  20. Healthcare Provider shall not post any false, inaccurate, defamatory, abusive, libelous, unlawful, obscene, threatening, harassing, fraudulent, pornographic, harmful, unethical comments, or behavior that could encourage criminal activity while using the platform.
  21. Healthcare Provider shall be responsible for obtaining any licenses, and abide by any laws or regulations required by law regarding telemedicine in whatever State, County or Country in which she/he reside and pay all applicable fees or taxes.

ECLINIC.CARE AGREES

  1. eClinic.care will provide a telemedicine platform for the Healthcare Provider in addition to other resources on its website www.eClinic.care.
  2. eClinic.care reserves the rights to amend, revise, institute, alter, or modify changes including but not limited to prices, literature, policies, terms, and items for the Healthcare Provider.
  3. eClinic.care shall not be responsible for acts beyond its control, including, but not limited to: fire, flood, earthquake, storms, power outages, labor difficulty, equipment failure, supplier problems, or other difficulties that might prevent performance according to this agreement.
  4. eClinic.care assumes no liability for personal injury arising from the use or mishandling of any of the EClinic.care platform, information, products or services.
  5. eClinic.care reserves the right to terminate this agreement immedi¬ately upon receipt of sufficient information that Healthcare Provider has violated any term or condition of this agreement or has otherwise acted illegally or unethically.
  6. eClinic.care assumes no liability for advice or information the Healthcare Provider gives to patients; such advice, recommendations or information is solely the responsibility of the Healthcare Provider.
  7. eClinic.care assumes no liability for any breech that the Healthcare Provider may do that is not compliant with HIPAA laws.
  8. eClinic.care requests that all Healthcare Providers obey the letter and the spirit of the law.

AGREEMENT FOR HIPAA COMPLIANCE

eClinic.care agrees to provide a platform that is as HIPAA compliant as possible, understanding that no program is 100% secure and unable to get hacked. eClinic.care has diligently complied with the parameters defining HIPAA compliance. However, other codes may be developed that may outline new guidelines. eClinic.care will attempt to comply with all and any of these codes but cannot warrant that it will be able to comply with all of them.

User (you) agrees to be HIPAA compliant in his/her interactions with patients through or associated with the eClinic.care platform. You agree to maintain HIPAA compliance with respect to any and all uploads or other documents, images, or other information about patients who use this platform. You may not use any automated means (such as scrapers, crawlers, spiders, robots, etc.) to access or copy data on the platform.

Violations of system or network security, or HIPAA rules, may result in civil or criminal liability. eClinic.care may investigate occurrences that may involve such violations and may cooperate with law enforcement authorities in prosecuting users who are involved in such violations. If found guilty, use of the platform by the user may be terminated without cause.

Any information presented through the eClinic.care website is not medical advice, and is not given as medical advice. eClinic.care is intended as a telemedicine solution, and shall not constitute medical advice, diagnosis, or recommendations or be considered a substitute for independent medical research and evaluation by a qualified professional.

You acknowledge that your use of the Platform is solely at your own risk and you assume full responsibility for all risk associated herewith.

eClinic.care does not make any representations or warranties about the training or skill of any healthcare providers who provides services via the Platform.

DISCLAIMER OF WARRANTIES

eClinic.care does not warrant that access to or use of its telemedicine solutions will be error-free nor that use of the platform will be uninterrupted or that defects in the site will be corrected. Use of eClinic.care is provided "as is," with all faults, with no warranties or representations of any kind, either expressed or implied, including but not limited to the quality of information. It does not warrant the accuracy, completeness or timeliness of the software or any information noted on its website or app.

Although eClinic.care makes every effort to ensure integrity and accuracy of its platform, it makes no representations, warranties or guarantees whatsoever as to the correctness or accuracy of the platform nor the eClinic.care website. There may be typographical errors, inaccuracies or other errors and unauthorized additions, deletions and alterations present on these entities. In such an event, please inform eClinic.care that it can be corrected. Information and programing of the platform may be changed or updated without notice.

You assume total responsibility and risk for your use of the Platform and any other related website or other services provided by eClinic.care. eClinic.care does not warrant that files available for use or download will be free of viruses, worms, trojan horses or other destructive programming. You are responsible for implementing safety precautions and procedures sufficient to satisfy your need for your protection against such programs and to satisfy your needs for data back up and security.

LIMITATION OF LIABILITY

eClinic.care is not responsible nor liable for any direct, indirect, incidental, consequential, special, exemplary, punitive, or other damages whatsoever (including without limitation, those resulting in any way from lost profits, lost data, or business interruption) arising out of or relating in any way to the Platform or its website. eClinic.care is not a healthcare provider, and shall have no liability or responsibility for the acts or omissions of the healthcare providers that choose to use its platform.

If you are dissatisfied with using the platform, your sole remedy ultimately is to STOP using the platform. The maximum liability of eClinic.care to you with respect to your use of the platform, regarding any potential claim, is up to $500 (five hundred dollars), amount agreed by both parties by signing this contract.

In the event of any dispute or claim relating to the platform or these Terms of Use, you agree to resolution of such dispute in the state or federal courts based on your location.

INDEMNIFICATIONS

You agree to indemnify, defend and hold harmless eClinic.care, its officers, directors, employees, agents, subsidiaries, affiliates, licensors, and suppliers, harmless from and against any claim, actions, demands, liabilities and settlements, including without limitation reasonable legal and accounting fees, resulting from, or alleged to result from, your violation of these terms and conditions

MOBILE APPS

ECLINIC.CARE'S MOBILE APPLICATION

eClinic.care App access the telemedicine platform via a mobile device. To use any eClinic.care App you must have a mobile device that is compatible with the Mobile Platform. eClinic.care does not warrant that any Mobile App will be compatible with your mobile device. eClinic.care grants to you a non-exclusive, non-transferable, revocable license to use eClinic.care App for one eClinic.care account on one mobile device owned or leased solely by you, for your personal, non-commercial use.

You may not: (1) modify, disassemble, decompile or reverse engineer the eClinic.care App, except to the extent that such restriction is expressly prohibited by law; (2) rent, lease, loan, resell, sublicense, distribute or otherwise transfer the eClinic.care App to any third party or use the eClinic.care App to provide time sharing or similar services for any third party; (3) make any copies of the eClinic.care App; (4) remove, circumvent, disable, damage or otherwise interfere with security-related features of the eClinic.care App, features that prevent or restrict use or copying of any content accessible through the eClinic.care App, or features that enforce limitations on use of the eClinic.care App; or (5) delete the copyright and other proprietary rights notices on the eClinic.care App. (6) continue to use the App and must delete the App from your phone if you have been terminated as a user of eClinic.care.

You acknowledge that eClinic.care may issue upgraded versions of the eClinic.care App over time, and may automatically electronically upgrade the version of the eClinic.care App that you are using on your mobile device. You consent to such automatic eClinic.care upgrading on your mobile device, and agree that the Terms and conditions of these Terms will apply to all such upgrades. Any third-party code that may be incorporated in the eClinic.care App is covered by the applicable open source or third-party end user license agreement, if any, authorizing use of such code. The foregoing license grant is not a sale of the eClinic.care App or any copy thereof, but simply a subscription license to use the App. eClinic.care or its third-party licensors or suppliers retain all right, title, and interest in and to the eClinic.care App (and any copy of the eClinic.care App).

The eClinic.care Software originates in the United States, and is subject to United States export laws and regulations. The eClinic.care Software may not be exported or re-exported to certain countries or those persons or entities prohibited from receiving exports from the United States. In addition, the eClinic.care Software may be subject to the import and export laws of other countries.
